General conditions of use and engagement for the services offered by SXI Tecnologia.

Service agreement.

This document sets out the rules that govern the relationship between SXI Tecnologia and its clients. Careful reading ensures transparency and security for both parties.

Acceptance of the Terms

By accessing the website sxi.com.br or using any service, system, platform, or API offered by SXI Tecnologia LTDA, registered under CNPJ No. 65.699.396/0001-52, headquartered in Uberlândia/MG, the user (the "Client," "Contracting Party") declares that they have read, understood, and fully agreed to these Terms of Service. If you do not agree with any of the provisions, you must immediately discontinue use of the services.

Scope of Services

SXI Tecnologia offers customized technology solutions, including but not limited to:

Custom-built systems
Automation and API integration
Chatbots and WhatsApp customer service
Digital transformation consulting
Hosting and technical support
Artificial intelligence and data

Registration and Access Account

To use part of the services, the Client must complete a registration providing true, complete, and up-to-date information. The Client is solely responsible for safeguarding and keeping their credentials confidential, and agrees to:

  • Not share login, password, or tokens with third parties;
  • Immediately notify SXI in the event of unauthorized access;
  • Be accountable for all actions performed under their account;
  • Keep their registration information up to date.

Client Responsibilities

The Client agrees to:

  • Use the services only for lawful and authorized purposes;
  • Provide true and necessary information for performance of the services;
  • Make payments on the agreed dates;
  • Respect copyrights, trademarks, patents, and intellectual property;
  • Not perform reverse engineering, copying, or redistribution without authorization;
  • Not use the services for spam, fraud, or unlawful activity.

SXI Responsibilities

SXI agrees to:

Provide the services with diligence and technical skill
Maintain confidentiality of confidential information
Ensure the availability of the platforms
Provide technical support through the published channels
Comply with applicable legislation (LGPD)

Deadlines, Deliverables, and Scope

The specific deadlines and scope of each service are defined in commercial proposals, contracts, or work orders formalized between the parties. Changes to the scope may result in a revision of deadlines, amounts, and conditions, by mutual agreement.

Payments, Refunds, and Default

The service amounts, payment methods, adjustments, and due dates are defined in the commercial proposals accepted by the Client.

In the event of default, SXI may suspend access, apply a 2% penalty and 1% interest per month, as well as refer the matter for judicial collection.
  • Suspension of access to the services and systems;
  • 2% penalty and 1% interest per month on the overdue amount;
  • Judicial or extrajudicial collection;
  • Unilateral termination of the contract.

Refunds, where applicable, will be reviewed on a case-by-case basis according to the work performed.

Intellectual Property

All rights to the trademarks, logos, source code, documentation, methodologies, content, texts, images, systems, and platforms made available belong exclusively to SXI Tecnologia or their respective owners, and are protected by intellectual property law. No rights are transferred to the Client merely by use of the services, except as expressly provided in a contract.

Confidentiality

The parties agree to maintain confidentiality regarding all confidential information exchanged during the contractual relationship, including commercial, technical, financial, and strategic data, source code, and trade secrets. The confidentiality obligation remains in effect even after the termination of the contract.

Limitation of Liability

SXI is not liable for:

  • Unavailability caused by third parties (providers, carriers, external APIs);
  • Improper use of the systems by the Client or its users;
  • Indirect damages, lost profits, or loss of opportunity;
  • Events of fortuitous circumstance or force majeure (Article 393 of the Civil Code);
  • Information provided incorrectly by the Client.
SXI's total liability is limited to the amount paid by the Client over the last 3 months for the service related to the claim.

Suspension and Termination

SXI may suspend or terminate access, with notice when possible, in the following cases:

Breach of these Terms
Default exceeding 15 days
Improper or fraudulent use
Request by a competent authority
Risk to platform security
Violation of third-party rights

Data Protection (LGPD)

SXI processes personal data in accordance with the General Data Protection Law (Law No. 13.709/2018) and as described in its Privacy Policy, which is an integral part of these Terms.

Changes to the Terms

SXI reserves the right to change these Terms of Service at any time by publishing the updated version on this page. Continued use of the services after publication constitutes tacit acceptance of the changes. Periodic review of this document is recommended.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Judicial District of Uberlândia/MG are hereby elected to resolve any questions or disputes arising from this instrument, with the parties waiving any other, however privileged it may be.
